1. Acceptance of Terms
By accessing or using PhoneNinjas AI’s answering service (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.
2. Service Description
PhoneNinjas AI provides an AI-powered answering service that handles incoming telephone calls and performs designated responses as configured by the customer (“Customer”).
3. Customer Responsibilities
- Provide accurate call-handling instructions and promptly update them as needed.
- Ensure any data supplied to the Service complies with applicable laws and does not infringe third-party rights.
- Maintain the confidentiality of any credentials used to access administrative dashboards.
4. Term & Termination
This Agreement operates on a month-to-month basis. Either party may terminate the Service at any time by providing written notice via email. Termination becomes effective at the end of the then-current service period. Upon termination, PhoneNinjas AI will cease providing the Service and may delete related Customer data after sixty (60) days, except where retention is required by law or agreed in writing.
5. Confidentiality
PhoneNinjas AI will protect the confidentiality of Customer information, including call transcripts, recordings, client data, and proprietary business practices, and will not use such information to train AI models without express written consent.
6. Intellectual Property
PhoneNinjas AI retains all intellectual-property rights in its AI agents, methods, and technologies. The logic, configuration, and architecture of any AI agent deployed to serve a Customer remain the exclusive property of PhoneNinjas AI and may not be copied, exported, or transferred outside the PhoneNinjas AI platform.
7. Disclaimer of Warranties
The Service is provided “as is” and “as available.” PhoneNinjas AI disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability
PhoneNinjas AI’s liability for direct damages arising out of or related to the Service will not exceed the fees paid by the Customer in the three (3) months immediately preceding the event giving rise to the claim. PhoneNinjas AI will not be liable for any indirect, incidental, special, consequential, or punitive damages.
9. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles.
10. Changes to Terms
PhoneNinjas AI may update these Terms from time to time. Material changes will be communicated to Customers at least fifteen (15) days before they take effect. Continued use of the Service after such notice constitutes acceptance of the updated Terms.
